1. The short version
Koji Creative provides website design, development, related creative services, and optional ongoing website care for businesses.
These Terms & Conditions explain how we work, what is included in our services, payment responsibilities, and the responsibilities of both Koji Creative and our clients.
By approving a project, making a payment, or purchasing a Koji Creative service, you agree to these Terms & Conditions.
2. Services & project scope
The services included in your project will be outlined in your quote, proposal, invoice, payment page, or other written communication from Koji Creative.
Website projects may include design, development, content setup, integrations, AI features, and other services specifically agreed upon for the project.
Requests outside the agreed project scope, including significant redesigns, additional pages, new functionality, or additional integrations, may require an additional quote.
Project timelines are estimates and may change depending on client feedback, requested changes, third-party services, or delays in receiving required information or materials.
3. Website Care
If you subscribe to our ongoing Website Care service, your plan includes the services described at the time of purchase, which may include:
- Website hosting
- Routine website maintenance
- Minor content updates
- General website support
Website Care does not include major redesigns, new pages, significant new functionality, custom development, or other work outside routine maintenance and minor updates unless otherwise agreed.
Koji Creative may use third-party providers to deliver hosting, AI functionality, website infrastructure, analytics, forms, email, or other services.
4. Website availability & third-party services
We work to keep websites operating reliably, but no website or online service can be guaranteed to operate without interruption.
Koji Creative does not guarantee continuous or uninterrupted website availability, specific uptime percentages, or error-free operation.
Website availability and functionality may be affected by hosting providers, domain registrars, internet infrastructure, APIs, AI providers, software platforms, plugins, security incidents, scheduled maintenance, or other services and circumstances outside our reasonable control.
Koji Creative is not responsible for outages, service interruptions, data loss, errors, or other issues caused by third-party services or circumstances outside our reasonable control.
If an issue occurs with a website we manage, we will make reasonable efforts to investigate and address issues that fall within the services we provide.
5. AI features
Some websites may include an AI-powered assistant or other AI functionality.
AI-generated responses are automated and may occasionally be incomplete, inaccurate, or incorrect. AI features are intended to provide general customer assistance and should not be relied upon for legal, medical, financial, safety-critical, or other professional advice.
The client is responsible for providing accurate information about their business, services, policies, pricing, and other information used to configure the AI assistant.
Koji Creative does not guarantee the accuracy of every AI-generated response or a particular result from the use of AI features.
6. Payments & billing
Project pricing and payment requirements will be provided before purchase or commencement of paid work.
Unless otherwise agreed, applicable project fees must be paid before the completed website is transferred or launched.
Recurring Website Care subscriptions are billed automatically at the billing interval shown at purchase.
Failure to pay an invoice or recurring charge may result in work being paused or Website Care services, including hosting, being suspended after reasonable notice.
All prices are stated in Canadian dollars unless otherwise specified.
7. Refunds & cancellations
Because website design and development involve customized work, payments for work that has already been completed are generally non-refundable.
If a project is cancelled before work begins, any amount paid for work that has not yet commenced may be refunded.
If a project is cancelled after work begins, Koji Creative may retain payment for work already performed and any non-refundable expenses incurred for the project.
Website Care subscriptions may be cancelled at any time and will remain active through the end of the current paid billing period unless otherwise agreed.
When Website Care ends, services provided as part of that subscription, including Koji-managed hosting, may also end. We will reasonably cooperate with clients who wish to move their website to another compatible hosting provider. Any migration or additional technical work may be quoted separately.
8. Client responsibilities
Clients agree to provide information, content, feedback, approvals, account access, and other materials reasonably required to complete their project.
Delays in receiving these materials may affect project timelines.
Clients are responsible for ensuring they have permission to use any logos, photographs, videos, text, trademarks, fonts, or other materials they provide to Koji Creative.
Clients are also responsible for reviewing and approving their website's content, business information, pricing, claims, policies, and other information before launch.
9. Intellectual property
Once all applicable project fees have been paid in full, the client owns the final website design and original brand assets created specifically for them, except for third-party materials and underlying tools, software, frameworks, libraries, licensed assets, or services.
Third-party software, fonts, stock assets, integrations, AI services, and other licensed materials remain subject to their respective owners' terms and licences.
Koji Creative retains ownership of its pre-existing tools, processes, reusable components, development methods, know-how, and general code patterns.
Unless a client asks us not to, Koji Creative may display completed work in our portfolio, website, social media, and other promotional materials.
10. No guarantee of business results
A website is one part of a business's marketing and operations.
Koji Creative does not guarantee increases in sales, leads, website traffic, search engine rankings, revenue, conversions, or any other specific business result.
11. Limitation of liability
To the fullest extent permitted by applicable law, Koji Creative will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, or business interruption arising from or related to our services.
To the fullest extent permitted by applicable law, Koji Creative's total liability arising from a particular project or service will not exceed the amount paid by the client to Koji Creative for the service giving rise to the claim during the six months immediately preceding the event giving rise to the claim.
Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited.
12. Privacy & client information
Koji Creative may collect and use information reasonably necessary to communicate with clients, process payments, provide services, maintain websites, and operate our business.
Where personal information is collected or processed, it will be handled in accordance with applicable privacy laws and our Privacy Policy.
Clients are responsible for ensuring that information they collect from their own website visitors is handled in accordance with applicable privacy requirements.
13. Termination
Either party may terminate a project or ongoing service if the other party materially breaches these terms and does not correct the breach within a reasonable period after receiving written notice.
Koji Creative may suspend or terminate services for non-payment, unlawful activity, abuse of our services, security risks, or other serious violations of these terms.
Termination does not eliminate payment obligations for work already completed or services already provided.
14. Changes to these terms
We may update these Terms & Conditions from time to time.
Changes will apply to future purchases and services after the updated terms take effect. Material changes affecting an existing ongoing service will be communicated where reasonably appropriate.
15. Governing law
These Terms & Conditions are governed by the laws of the Province of British Columbia and the applicable laws of Canada.
